Terms of Service

Last updated: 7 July 2026. These terms govern your use of the OmniGuard Labs website and the OmniAudit platform (the "Services").

1. The Services

OmniGuard Labs provides smart-contract security analysis, including proof-backed audits, a screening/verdict API, monitoring, and related reports. By accessing the Services you agree to these terms.

2. Accounts & eligibility

You must provide accurate information, keep credentials secure, and are responsible for activity under your account. You must be able to form a binding contract and use the Services only for lawful purposes.

3. Acceptable use

Do not misuse the Services: no attempting to disrupt, reverse-engineer, or gain unauthorized access; no submitting content you have no right to submit; no using outputs to facilitate an attack on a system you do not own or have permission to test.

4. Payment, subscriptions & refunds

Paid services are billed via our payment processor (Stripe). Subscriptions (API, monitoring, badge, CI gate) renew monthly until cancelled; you may cancel anytime and access continues through the paid period. One-time services (reports, audits, fix-verification) are billed per engagement.

Refunds: audits and verification work are non-refundable once work has begun; one-time reports and badges are non-refundable once delivered; subscription fees already charged are non-refundable, but you will not be charged for future periods after cancellation. Taxes may apply based on your location.

5. No warranty on security outcomes

Our findings are produced by deterministic analysis and, where stated, verified by execution ("no proof, no finding"). However, the Services are provided "as is." A review — even a clean one — does not guarantee that a contract is free of all vulnerabilities, and does not constitute financial, investment, or legal advice. You remain responsible for decisions about deploying, funding, or trusting any contract.

6. Intellectual property

You retain rights to source code you submit. OmniGuard Labs retains all rights to the Services, including the verifier, analysis methods, corpus, models, and the "OmniGuard" and "OmniAudit" marks. Our methods are proprietary trade secrets; we deliver the verdict and its proof, not the method. We may share the verdict and findings for a submitted public contract on our Proof Wall unless you request otherwise for a paid engagement.

7. Confidentiality

For paid engagements, findings are shared with you before any public disclosure, and we follow coordinated-disclosure timelines. We will never ask you for private keys, seed phrases, or funds.

8. Limitation of liability

To the maximum extent permitted by law, OmniGuard Labs is not liable for indirect, incidental, or consequential damages, or for loss of funds, profits, or data. Our total liability for any claim is limited to the amount you paid for the Service giving rise to the claim in the 3 months before the claim.

9. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these terms or misuse. Sections that by their nature should survive (IP, disclaimers, liability) survive termination.

10. Changes & governing law

We may update these terms; material changes will be posted here with a new date. These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules.
